Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the website actionassets.ai, any digital products sold through it, and consulting services provided by Action Assets Limited LLC ("Action Assets," "we," "us"). By using the site or buying a product, you agree to these Terms. If you do not agree, do not use the site.

2. Who May Use the Site

You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase products or engage consulting services. By using the site you represent that you meet this requirement and that the information you provide is accurate.

3. Digital Products

We sell downloadable digital templates, forms, guides, and prompt packs. When you buy a digital product:

  • You are granted a non-exclusive, non-transferable license to use the product for your own business or personal use.
  • You may customize and distribute outputs you create with the product (filled-in forms, customized templates) in your own business. You may not resell, redistribute, or sublicense the original template files.
  • You may not claim authorship of the underlying templates or remove any copyright notices we include.
  • All intellectual property in the templates remains with Action Assets Limited LLC.

4. Consulting Services

Consulting engagements are scoped individually in a separate statement of work or written agreement. Those agreements, when signed, take precedence over anything in these Terms that conflicts with them. Unless stated otherwise in an engagement document, consulting fees are non-refundable once work has begun.

5. Payments

Payments are processed by Stripe. Prices are listed in US dollars and shown before checkout. By completing a purchase, you authorize Stripe to charge your payment method for the amount shown. Applicable taxes may be added at checkout depending on your location.

6. Refunds

Our refund rules for digital products and services are described in our Refund Policy, which is part of these Terms.

7. Acceptable Use

You agree not to:

  • Use the site or products for any unlawful purpose.
  • Attempt to gain unauthorized access to our systems, accounts, or infrastructure.
  • Scrape, harvest, or otherwise extract bulk data from the site except as permitted by robots.txt.
  • Resell, redistribute, or make derivative commercial products from our templates without a separate written license.
  • Upload or transmit anything that is unlawful, infringing, or harmful.

8. No Warranties

The site and products are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the site will be uninterrupted, error-free, or free of harmful components, or that the products will be suitable for your specific business situation. You are responsible for verifying that any template, form, or automation meets the legal and regulatory requirements of your jurisdiction and industry before using it.

9. Limitation of Liability

To the fullest extent permitted by law, Action Assets Limited LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of your use of the site, products, or services. Our total liability for any claim related to the site, products, or services will not exceed the amount you paid us in the 12 months preceding the claim, or one hundred US dollars, whichever is greater.

10. Indemnification

You agree to indemnify and hold Action Assets harmless from any claim, loss, or expense (including reasonable legal fees) arising out of your misuse of the site, products, or services, your violation of these Terms, or your violation of any third-party rights.

11. Governing Law

These Terms are governed by the laws of the United States and the state in which Action Assets Limited LLC is organized, without regard to conflict-of-law principles. Any dispute arising out of these Terms or your use of the site will be resolved in the state or federal courts located in that state, and you consent to the exclusive jurisdiction of those courts.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the effective date above. Your continued use of the site after changes take effect constitutes acceptance of the new Terms.
